I. NAME AND OBJECTS
(a) The name of the Club shall be Dunfermline Sports Club, hereinafter referred to as “the Club”.
(b) The objects of the Club shall be to foster, encourage and administer the playing of cricket, rugby football and such other sports as may from time to time be promoted and approved by the Management Committee of the Club; and to provide facilities for the members of the Club.
II. SECTIONS
The Club shall include the following sections: Cricket, to be known as Dunfermline Cricket Club; Rugby Football, to be known as Dunfermline Rugby Football Club; and sections for such other sports as may be promoted and approved by the Management Committee.
III. MEMBERSHIP
(a) The membership of the Club shall consist of Ordinary and Junior (under 18 years of age) Members of any individual Section: Associate Members (not attached to any Section) and Junior Associate Members: Life Members; and Temporary Members, all as hereinafter provided. Junior Members shall have all the privileges of Membership, subject to the restrictions that they shall have no voting rights, nor shall they be entitled to serve on the Committee of the Club.
(b) Application by prospective candidates for membership shall be made in writing to the Secretary and such candidates shall be proposed and seconded by two members of the Club, who must have been members of the Club for at least one year.
The names and addresses of persons proposed for Membership shall be displayed in a conspicuous place in the Club premises for at least a week before their election, and an interval of not less than two weeks shall elapse between the nomination and election of ordinary members. Every member shall have the right to intimate an objection to any application for membership.
All members of the Club shall be elected by a simple majority of the Management Committee who shall have power to approve or reject an application without explanation.
(c)Associate Membership – Application for associate membership of the Club shall be made in the same manner as for Ordinary and Junior Membership. On election by the Management Committee, such members shall have all the privileges of Membership, subject to the restrictions that they shall have no voting rights, nor shall they be entitled to serve on the Committee of the Club.
(d) Honorary Membership – The Management Committee may appoint as an Honorary Member any person who, in the opinion of that Committee is deemed worthy of the appointment. Such members shall have all the privileges of ordinary membership.
(e) Temporary Membership – Temporary Membership may be granted to the following provided they have applied for, and been granted, the courtesy of the Club the by Management Committee (and for the duration of the visit only):-
(1) All members of visiting Clubs and all players and officials in any trial or district match which takes place at the Club’s ground.
(2) Members of other sports clubs or other bona fide organisations or other persons who have been granted the courtesy of the Club-house to facilitate their playing on the Club’s grounds, or in taking part in other organised Club functions.In this letter granting the courtesy of the Club and the Club-house, the Secretary shall indicate the granting of temporary membership and request the visiting club or organisation to produce such letter with a list of the names of visiting members to him.
Temporary Members shall be entitled to use the Club’s facilities for the duration of the visit, but to no other privileges. Temporary Membership may be terminated at any time by the Committee.
(f) On admission to membership, each member shall receive a copy of the Constitution and Rules.
(g) Resignation – Any member wishing to resign his membership of the Club must give notice in warning to the Secretary prior to the date of the Annual General Meeting, failing which the subscription for the following season will be due by the member.
(h) The Management Committee shall have power to suspend or expel any member who shall offend against the rules of bye-laws of the Club or whose conduct in the opinion of the Management Committee renders him unfit for membership of the Club. No member shall be expelled without first having the opportunity of appearing before the Management Committee and answering the complaint made against him, nor unless at least two-thirds of that Committee, then present, vote in favour of his expulsion.
(i) The Management Committee may at any time close the membership of the Club.
IV MANAGEMENT
(a) The business and affairs of the Club shall be controlled by a Management Committee consisting of a President, a Vice President and nine other members. These office bearers shall be elected at the Club’s Annual General Meeting as hereinafter provided and shall be past or present players of Cricket or Rugby Football, Squash players, or participate in any other Sport for which a Section may be formed.
(b) The President and Vice President shall be elected at the Annual General Meeting to act for one year, and shall be eligible for re-election. The other nine members of the Management Committee shall hold office for two years, each retiring at the Annual General Meeting held in the second year after their election, but shall be eligible for re-election. At least one member of the Management Committee should be from each of the Cricket, Rugby and Squash Sections.
(c) All nominations for election as President, Vice President or as an ordinary member of the Management Committee at an Annual General Meeting must be in writing, signed by a proposer and seconder and lodged with the Secretary 21 clear days before the Annual General Meeting. The nominations must forthwith be displayed in the Club premises and intimated in the notice calling the Annual General Meeting.
(d) Casual vacancies in the Management Committee may be filled from the membership of the Club by the Committee until the next Annual General Meeting and thereafter by the members at that meeting, but only for the unexpired period. If any, of the terms of the office of the member of the Committee whose resignation, death or otherwise, has created the vacancy.
(e) Notwithstanding the terms of subparagraphs a-d hereof it shall be open to the members at any time in the event of being dissatisfied with the performance of the Management Committee or the majority thereof resigning at the same time to call a Special General Meeting in terms of paragraph VI.b. hereof with a view to removing the Committee from office and/or replacing the Committee with others elected from the membership. Any person elected to the Management Committee at a Special General Meeting under this paragraph shall hold office until the next Annual General Meeting of the Club and shall then be eligible for re-election in terms of subparagraph b. hereof.
(f) The Management Committee shall hold monthly meetings and shall appoint a Secretary/Treasurer or a Secretary and Treasurer who shall, however, have no voting rights unless they are members of the Club.
Five members of the Management Committee shall form a quorum at any meeting of the Committee.
(g) The financial year of the Club shall end on 31 August. Correct accounts and books shall be kept showing the financial affairs and intromissions of the Club and an Account with a bank approved by the Management Committee shall be opened in the name of the Club into which all monies received by the Treasurer shall forthwith be passed.
The Annual Accounts of the Club, duly audited by a Chartered or Certified Accountant in practice in Dunfermline appointed at the Annual General Meeting, shall be exhibited on the Club premises at least 7 days prior to the date of the Annual General Meeting to which they will be submitted.
(h) All property of the Club, including land, leases, investments and others shall be held by the President and Immediate Past President for the time being of the Club as Trustees for the Club ex officiis so far as necessary and practicable for the use and benefit of the Club.
(i) The Trustees shall have power to grant any document for the sale, lease, mortgage or pledge of the property of the Club and to enter into any documents on behalf of the Club for purchase, lease or otherwise in any manner of way that with the consent of the majority of the Committee; but no purchaser, lessee or security holder shall be concerned to enquire whether such consent has been given.
(j) In order to defray the cost of maintaining premises for the Club or the cost of alterations thereto or the furnishings thereof or for liquidating the obligations of the Club the Management Committee shall have power if and when the Committee see fit to borrow such sum or sums of money as may in their opinion be necessary upon such terms and conditions as they think proper and all necessary documents shall be signed on behalf of the Club either by the Trustees as aforesaid or alternatively as the Committee may from time to time direct.
(k) The Management Committee shall have power to expend up to £15,000 per annum on matters of capital expenditure without prior reference to the members. Any year’s unexpended authorisation cannot be carried forward to a subsequent year.
(l) If so authorised by the Minutes of the Management Committee the Secretary or Treasurer and one member of the Committee shall have power in all question between the Club and any of the members or third parties to Institute/defend and follow out legal proceedings in the name of the Club.
(m) For the better management of the Club, the Management Committee shall have power to frame bye-laws not inconsistent with these Rules, which shall be deemed to have equal force and authority as if incorporated in the Constitution and Rules.
V. SUBSCRIPTIONS
(a) Annual Subscriptions for members, Additional subscriptions for each section, and the Entrance Fee for new members shall be stated in the Appendix to these Rules. The Annual Subscription and the Entrance Fee may only be altered by a Resolution at an Annual General Meeting or a recommendation of the Management Committee or by a Resolution of a Special General Meeting. The Additional Subscription for each section will be fixed by that section.
(b) Subscriptions shall be due on 1st November of each year.
(c) Each new member will pay the Entrance Fee and Annual Subscription prior to being admitted to the Club.
(d) The Management Committee shall withdraw facilities from defaulting members and in due course shall take such further action as they consider advisable.
VI MEETINGS
(a) The Annual General Meeting shall be held no later than the end of November each year and shall be called by a notice displayed on the Club notice board and in the local press, at least fourteen days prior to the date of the meeting and stating the business of the meeting.
(b) A Special General Meeting may be convened on receipt by the Secretary of a requisition signed by twenty members of the Club stating the objects for which the Special General Meeting is required. The notice calling a Special General Meeting must be displayed on the Club notice board and in the local press, at least twenty-one days prior to the Meeting and must give full particulars of the purpose for which the Meeting is called.
(c) At any Meeting of the Club, 9 members present and entitled to vote shall form a quorum. In the event of a quorum not being present, the Meeting shall be adjourned for one week, when those members present and entitled to vote shall form a quorum.
VII VOTING
(a) All Members are entitled to attend, take part in discussions and vote except as previously provided, at the Annual General Meetings and Special General Meetings.
(b) At any meetings the Chairman, or Acting Chairman, shall have a casting as well as a deliberative vote.
VIII LIABILITY OF MEMBERS
(a) The Club, by a majority of votes shall have power at a Special General Meeting called for the purpose, to assess the whole Membership for payment of such equally as may be considered necessary for liquidating the obligations of the club, or any part thereof. Any member failing to make payment of his share of the sum resolved to be assessed upon the members from the Club shall, in addition to his liability to have the sum so assessed recovered from him, at the discretion of the Management Committee, whose judgement shall be final, be also liable to have his name struck off the membership.
IX GUESTS
Any member shall be entitled to introduce guests to the Club provided that no person be introduced
(a) who has previously been expelled from membership of the Club.
(b) whose application for membership of the Club has been refused.
(c) more than three times per calendar month.
X EXCISABLE LIQUORS
(a) The Management Committee shall regulate the conduct of the sale and supply of excisable liquors in the Club, the keeping of proper stock records and accounts, and the appointment of a Steward.
(b) The hours during which the sale of excisable liquor may be permitted by the Licensing Acts in force, shall be displayed in the Club premises.
(c) The Management Committee may further restrict the permitted hours, in such manner as may appear to them convenient and expeditious, within the limits imposed by the Licensing Acts in force. In order to ensure the good conduct of the Club and to meet the general requirements of the Members.
(d) No excisable liquor shall be sold or supplied in the Club premises to any person under 18 years of age.
(e) No excisable liquor shall be sold or supplied in the Club premises for consumption off the premises except to a member of the Club in person for consumption by him, or to a person holding a certificate or a wholesaler’s excise licence for the sale of such liquor. No such sales shall be made on a Sunday.
(f) No member of the Management Committee and no manager or servant employed in the Club shall have a personal interest in the sale of excisable liquor on the Club premises or in the profits arising from such a sale.
(g) The Management Committee shall be entitled to enter into any Bond or Agreement binding the Club to purchase Excisables from any suppliers, person or persons and any such Bond or Agreement shall be signed as hereinbefore provided for.
(h) A guest shall not be supplied with excisable liquor in the Club premises unless on the invitation and in the company of a member and that member shall, upon admission of such visitor to the Club premises or immediately upon his being supplied with such liquor, enter his own name and the name and address of the guest in the book which shall be kept for the purpose and which shall show the date of each visit.
XI ALTERATION OF CONSTITUTION
No alterations or additions to these Rules shall be made except by a Resolution carried by a majority of at least two-thirds of the members present at an Annual General Meeting or Special General Meeting of the club, notice of which shall have contained particulars of the proposed alterations or additions.
